These Terms of Service constitute a legally binding agreement between you (an individual or entity) and Chablyy (powered by Miocache Technology Private Limited) ("we", "us", or "our") governing your access to and use of https://chablyy.com, the Chablyy Shopify app (including the storefront chat and web pixel it installs), the Chablyy platform, APIs, and related Services. By using Chablyy (including integrations with Meta products such as Facebook, Instagram, and WhatsApp), you agree to be bound by these Terms. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
Agreement to Terms
By installing Chablyy, creating an account or otherwise using our Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have authority to enter into these Terms. Continued use constitutes acceptance of updates; material changes may require affirmative consent.
Your Shopify store
Chablyy is a Shopify app. When you install it you approve the access it asks for, and you confirm that you have authority to act for the store and to bind it to these Terms. Your use of Shopify itself remains subject to Shopify's own terms and policies. Chablyy is an independent service and is not affiliated with, endorsed by or sponsored by Shopify Inc. Shopify is a trademark of Shopify Inc.
Services and Intellectual Property
Chablyy provides a no-code AI assistant, delivered as software as a service, that enables businesses to manage customer-initiated messaging across supported channels (for example the chat on your Shopify storefront and, where you connect them, WhatsApp Business, Instagram Messaging and Facebook Messenger). Which channels and features are available to you depends on the Services you have installed or enabled. All software, trademarks and content made available through the Services are owned by or licensed to Chablyy. You may use them only for permitted business purposes and not for resale or redistribution except with our written consent.
AI-generated replies
Chablyy uses artificial intelligence to draft and send replies. AI replies can be imperfect. You are responsible for reviewing how your assistant is set up, for the content you give it (such as your knowledge base, policies and persona), and for how you use its replies. We do not guarantee that any reply is accurate, complete or suitable for a particular purpose.
User Responsibilities
You must (1) provide accurate account information and keep it current; (2) comply with all applicable laws and platform policies (including Shopify's terms and policies and, where you connect them, Meta Platform Terms and Developer Policies); (3) obtain required consents from end users before sending communications on their behalf; (4) not use the Services to send spam, unsolicited bulk messages, or engage in abusive automated messaging; (5) secure account credentials and promptly notify us of unauthorized use.
Data processing and API compliance
When you install Chablyy on your Shopify store or connect third-party platforms (including Meta products) you acknowledge Chablyy acts as a data processor/service provider for the shoppers' and customers' data we handle for you, and will process such data only per your instructions and to provide the Services. You remain responsible for obtaining consents where required. Chablyy uses only Shopify's official APIs, the official Meta/WhatsApp Business APIs and other authorized third-party APIs; we do not use unofficial or reverse-engineered integrations.
Our Privacy Policy describes the data we process, our service providers and how long we keep data. A data processing agreement is available on request: email support@chablyy.com.
Acceptable Use & Prohibited Conduct
- You must not use Chablyy to send unsolicited or deceptive messages.
- You must not collect or use personal data without lawful basis or required consent.
- You must not attempt to circumvent platform controls or automate engagement actions (auto-likes, fake reviews, unsolicited comments).
- Outbound (business-initiated) WhatsApp or other proactive messages must use Meta-approved templates and recipient opt-in where required.
Subscriptions, billing and refunds
Chablyy for Shopify is billed through Shopify. You approve your plan, and any change to it, in your Shopify admin, and the charges appear on your Shopify invoice. We do not collect your card or payment details.
Plans, prices, monthly usage allowances (such as AI replies) and any free trial are shown when you approve a plan and on chablyy.com/pricing. Paid plans are subscriptions and renew automatically until cancelled.
You can cancel at any time from Usage & billing in the app. Your plan then stays active until the end date shown there. Uninstalling Chablyy also ends your subscription and removes the app from your store.
Billing and refunds follow Shopify's process. Fees already charged are non-refundable, except where the law requires a refund or where we agree to one at our discretion after you email support@chablyy.com.
Data retention and export
We retain account data, messages and logs only as long as necessary to provide the Services, comply with legal obligations, or for legitimate business needs. How long we keep data after you uninstall Chablyy or close your account, and how to ask for a copy of your data or for deletion, is described in our Privacy Policy.
Account Closure & Termination
You may stop using Chablyy at any time by uninstalling it from your Shopify admin, which ends your subscription, or by emailing support@chablyy.com to close your account. We may suspend or terminate access for violations of these Terms, platform policies, or applicable law. Certain records (e.g., invoices, backups) may persist for legal or tax reasons.
API Usage, Rate Limits & Security
If using our APIs or connecting third-party APIs you must follow rate limits, authentication, and security best practices. Do not attempt to reverse-engineer, circumvent, or interfere with our APIs or integrations. We may throttle or suspend access for non-compliant or abusive behavior.
User Content and License
You retain ownership of content you upload or create ('User Content'). By providing User Content you grant Chablyy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify and display that content solely to provide the Services. You represent you have rights to provide such content.
Indemnification
You agree to indemnify and hold Chablyy and its officers, directors and employees harmless from claims arising from your use of the Services, your User Content, or your breach of these Terms.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CHABLYY'S LIABILITY IS LIMITED. IN NO EVENT WILL CHABLYY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE DIRECT LIABILITY WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO CHABLYY IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS GREATER.

We respect copyrights. If you believe content infringes your copyright, contact support@chablyy.com with a completed takedown request including sufficient information to locate the material and a statement under penalty of perjury.
Dispute Resolution
Disputes will first be attempted to be resolved through good faith negotiation. If unresolved, disputes are subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal, unless otherwise agreed.
Changes to These Terms
We may update these Terms from time to time. For minor updates we will post the new Terms with a revised "last updated" date. For material changes we will provide notice (email or in-app) and may require affirmative acceptance.
Governing Law
These Terms are governed by the laws of the country in which the Company operates, without regard to conflict of law provisions.
