Terms of Service

These Terms of Service constitute a legally binding agreement between you (an individual or entity) and Chablyy (powered by Miocache Technology Private Limited) ("we", "us", or "our") governing your access to and use of https://chablyy.com, the Chablyy platform, APIs, and related Services. By using Chablyy (including integrations with Meta products such as Facebook, Instagram, and WhatsApp), you agree to be bound by these Terms. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

Agreement to Terms

By creating an account or otherwise using our Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have authority to enter into these Terms. Continued use constitutes acceptance of updates; material changes may require affirmative consent.

Services and Intellectual Property

Chablyy provides a no-code AI chatbot SaaS that enables businesses to manage customer-initiated messaging across supported channels (e.g., WhatsApp Business, Instagram Messaging, Facebook Messenger, web chat). All software, trademarks and content made available through the Services are owned by or licensed to Chablyy. You may use them only for permitted business purposes and not for resale or redistribution except with our written consent.

User Responsibilities

You must (1) provide accurate account information and keep it current; (2) comply with all applicable laws and platform policies (including Meta Platform Terms and Developer Policies); (3) obtain required consents from end users before sending communications on their behalf; (4) not use the Services to send spam, unsolicited bulk messages, or engage in abusive automated messaging; (5) secure account credentials and promptly notify us of unauthorized use.

Data Processing & API Compliance

When you connect third-party platforms (including Meta products) you acknowledge Chablyy acts as a data processor/service provider for certain data and will process such data only per your instructions and to provide the Services. You remain responsible for obtaining consents where required. Chablyy uses only official Meta/WhatsApp Business APIs and other authorized third-party APIs; we do not use unofficial or reverse-engineered integrations.

Acceptable Use & Prohibited Conduct

• You must not use Chablyy to send unsolicited or deceptive messages.
• You must not collect or use personal data without lawful basis or required consent.
• You must not attempt to circumvent platform controls or automate engagement actions (auto-likes, fake reviews, unsolicited comments).
• Outbound (business-initiated) WhatsApp or other proactive messages must use Meta-approved templates and recipient opt-in where required.

Payments, Subscriptions & Refunds

Paid features are billed on a subscription basis with automatic renewals. Fees are non-refundable except as required by law or as stated in our Refund Policy (see refund policy page). Payments are processed by third-party payment processors (e.g., Paddle, Stripe). Your use of those processors is subject to their terms as well as these Terms.

Data Retention & Export

We retain user account data, messages and logs only as long as necessary to provide Services, comply with legal obligations, or for legitimate business needs. Default retention for messages and logs is thirty (30) days unless the account owner configures a different setting. Upon account deletion we will delete or anonymize data within thirty (30) days except where retention is required by law or for fraud prevention. You may request a data export in a common machine-readable format.

Account Closure & Termination

You may close your account via settings or by contacting legal@chablyy.com. We may suspend or terminate access for violations of these Terms, platform policies, or applicable law. Certain records (e.g., invoices, backups) may persist for legal or tax reasons.

API Usage, Rate Limits & Security

If using our APIs or connecting third-party APIs you must follow rate limits, authentication, and security best practices. Do not attempt to reverse-engineer, circumvent, or interfere with our APIs or integrations. We may throttle or suspend access for non-compliant or abusive behavior.

User Content and License

You retain ownership of content you upload or create ('User Content'). By providing User Content you grant Chablyy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify and display that content solely to provide the Services. You represent you have rights to provide such content.

Indemnification

You agree to indemnify and hold Chablyy and its officers, directors and employees harmless from claims arising from your use of the Services, your User Content, or your breach of these Terms.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHABLYY'S LIABILITY IS LIMITED. IN NO EVENT WILL CHABLYY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE DIRECT LIABILITY WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO CHABLYY IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS GREATER.

We respect copyrights. If you believe content infringes your copyright, contact legal@chablyy.com with a completed takedown request including sufficient information to locate the material and a statement under penalty of perjury.

Dispute Resolution

Disputes will first be attempted to be resolved through good faith negotiation. If unresolved, disputes are subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal, unless otherwise agreed.

Changes to These Terms

We may update these Terms from time to time. For minor updates we will post the new Terms with a revised 'lastUpdated' date. For material changes we will provide notice (email or in-app) and may require affirmative acceptance.

Governing Law

These Terms are governed by the laws of the country in which the Company operates, without regard to conflict of law provisions.
